Google and Motorola Mobility Holdings have officially announced that two companies have entered into an acquisition agreement.
Under the terms of the agreement, Google will purchase Motorola Mobility, it will pay $40.00 per share in cash, a total is about $12.5 billion. The deal was approved by the boards of directors of two companies.
This acquisition will empower Google to supercharge the Android ecosystem as well as enhance the competition in mobile computing.
Motorola Mobility will stay a licensee of Android. Google intends run Motorola Mobility as the separate business.
According to the CEO of Google, Motorola Mobility's commitment to Android has made a natural fit for both companies that together can create unique user experiences to supercharge the Android ecosystem for the benefit of customers, partners and developers.
The transaction is still subject to customary closing conditions such as the receipt of regulatory approvals in the US, the EU, the approval of Motorola Mobility’s stockholders.
The acquisition is expected to be completed by the end of 2011(early 2012).
